Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of cienty.org (the "Service") operated by Covalenty Ltda ("the Company," "we," "us," or "our"), a Brazilian limited company with registered office at Avenida Paulista 1374, Conjunto 11, Sao Paulo, SP, 01310-100, Brasil. By registering an account or using the Service, you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of Brazil or your country of residence.
The Service is a B2B procurement marketplace. Pharmacy and distributor accounts are commercial business accounts; these Terms govern the commercial relationship between the Company and each registered business.
2. Account Types and Eligibility
The Service offers two account types:
- Pharmacy account: For independent pharmacies holding a valid operating license (alvara sanitario) and employing a registered pharmacist (CRF). The pharmacy account holder represents that the business is authorized to purchase pharmaceutical products for retail dispensing.
- Distributor account: For pharmaceutical distributors holding a valid ANVISA authorization to distribute the product categories listed in their catalog. The Company verifies ANVISA authorization before any distributor catalog goes live on the platform.
You must be a legal representative of the registering business and of legal age in your jurisdiction to create an account. You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorized access to any account or data not belonging to your organization.
3. Marketplace Rules
The Company operates as a marketplace facilitating transactions between pharmacies and distributors. The Company is not a party to sales contracts between pharmacies and distributors; those contracts are formed directly between the buyer and seller.
For distributors: Prices and availability listed on the platform must be accurate and honored when an order is placed. Catalog listings must correspond only to products covered by the distributor's valid ANVISA authorization. Distributors may not list products from other companies' authorizations or products recalled by ANVISA.
For pharmacies: Orders placed through the platform constitute a binding purchase commitment. Pharmacy accounts may not be used by third parties or for resale to non-registered entities outside the account holder's operations.
You may not scrape, reverse-engineer, copy, or create derivative works from the Service or its price data, except as permitted by mandatory Brazilian law.
4. Intellectual Property
The Service, including its search infrastructure, price comparison algorithms, and platform interface, is owned by the Company or its licensors and is protected under Brazilian and international intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose of pharmaceutical procurement and catalog management. No other rights are granted.
5. User Content and Catalog Data
You are responsible for any content you submit, including product listings, pricing data, order information, and account communications. You grant the Company a limited license to use, store, process, and display the content as necessary to provide the marketplace Service, including presenting distributor catalog data to searching pharmacies and routing orders to the correct distributor.
Distributor catalog data (product names, ANVISA codes, prices, availability) is used by the platform to serve pharmacy search results. Aggregated and anonymized pricing data may be used to display market benchmarks visible to all users; individual transaction details are not disclosed to other parties.
6. ANVISA Compliance and Regulatory Obligations
The Company verifies ANVISA distributor authorization at onboarding, but does not continuously monitor for license changes. Distributors remain solely responsible for maintaining valid ANVISA authorizations and for ensuring that no recalled, expired, or unauthorized product is offered through the platform. If an authorization lapses or a product recall is issued, the distributor must notify the Company immediately and remove affected listings.
Pharmacies remain responsible for compliance with their own ANVISA obligations, including receiving products only from authorized distributors and maintaining required purchase records under Brazilian pharmaceutical regulations.
7. Disclaimers
The Service is provided on an "as is" and "as available" basis. The Company does not manufacture, hold, or deliver pharmaceutical products; it facilitates introductions and order routing between registered parties. We disclaim all warranties relating to the accuracy of distributor pricing data, product availability, or delivery timelines, to the maximum extent permitted by applicable Brazilian law. Mandatory consumer protections under Brazilian law applicable to your situation are not affected by this disclaimer.
8. Limitation of Liability
To the maximum extent permitted by Brazilian law, the Company's total liability for any claim arising from or related to the Service will not exceed the greater of BRL 500 or the total fees paid by you to the Company in the three months preceding the claim. This limitation does not apply to liability that cannot be excluded or limited under mandatory Brazilian law, including under the Codigo de Defesa do Consumidor where applicable.
9. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your violation of any applicable law or regulation (including ANVISA rules), or your infringement of any third-party right.
10. Termination
The Company may suspend or terminate access to the Service for breach of these Terms, for non-payment of applicable subscription fees, or where required by regulatory authority. Sections 4, 5, 8, 9, and 11 survive termination. Upon termination, your right to use the Service ceases, but outstanding orders placed before termination will be fulfilled or cancelled according to the status of each transaction.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Brazil. Disputes arising from or related to these Terms are subject to the non-exclusive jurisdiction of the competent courts of Sao Paulo, Brazil, without prejudice to mandatory consumer-protection rights of your country of residence. Parties agree to attempt good-faith resolution before commencing formal proceedings.
12. Changes and Contact
We may update these Terms from time to time. Material changes will be communicated to active account holders by email at least 15 days before taking effect, and the "Last updated" date on this page will be revised.
